1.About these terms

These terms apply to your use of this website and to quotes and orders with Adverla Market, Suite 4, Saffron House, 27 Mercer Lane, London EC2A 4JH, U.K. By using the website or placing an order, you agree to them. If you do not agree, please do not use the website.

Our products are sold to businesses and wholesale buyers. If a separate written agreement or order confirmation is signed with you, it takes priority over these terms where they differ.

2.Information on this website

We take care to keep product descriptions, specifications, images and packaging details accurate, but they are for general information and may change without notice. Photos are illustrative, and natural products can vary slightly in colour, size and appearance between batches. The specification confirmed in your quote or order confirmation is the one that applies.

3.Quotes and prices

We sell in bulk, and prices depend on product, grade, quantity, packaging, destination and market conditions, so they are not fixed on the website. Prices are given in individual written quotes, which are valid for the period stated in the quote. Unless the quote says otherwise, prices exclude taxes, duties and import charges.

4.Orders and contract

An enquiry or a request for a quote is not an order. A contract is formed only when we confirm your order in writing, for example by order confirmation or proforma invoice, and, where requested, payment terms have been met. We may decline or cancel an order, for example if a product is unavailable or we cannot meet the requested delivery terms, and will refund any payment already made for it.

5.Payment

Payment terms, currency and method are stated in the quote or proforma invoice. Goods may be held until payment, or an agreed deposit, is received. Bank charges are paid by the party stated in the order confirmation.

6.Shipping, delivery and risk

Delivery terms follow the Incoterms rule agreed in the order (for example EXW, FOB or CIF). Risk in the goods passes to you as set out in that rule. Delivery dates and transit times are estimates, and we are not responsible for delays caused by carriers, customs, weather or other events outside our control.

7.Quality, inspection and claims

Goods are supplied to the specification agreed in the order. Please inspect them on arrival and tell us in writing about any shortage, damage or non-conformity within the period stated in the order confirmation, with photos and batch details where possible. Where a claim is valid, we will, at our choice, replace the goods, correct the shortfall or credit the affected amount.

8.Export, import and compliance

You are responsible for import licences, permits, customs clearance, duties and taxes in the destination country, and for making sure the goods can lawfully be imported and used there. We may refuse or suspend an order where required to by sanctions, export-control or other laws.

9.Intellectual property

The content of this website, including text, logos, images and design, belongs to Adverla Market or its licensors. You may view and print it for your own business use, but you may not copy, republish or use it commercially without our written permission.

10.Using the website

You agree not to misuse the website, including trying to gain unauthorised access, introducing harmful code, or sending false or misleading enquiries.

11.Our liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law. Otherwise, to the extent the law allows, we are not liable for indirect or consequential loss or loss of profit, and our total liability for any order is limited to the price paid for the goods concerned.

12.Events beyond our control

Neither party is liable for delay or failure caused by events outside its reasonable control, such as natural disasters, crop failure, strikes, war, transport disruption or government action.

13.Links to other websites

Links to third-party sites are provided for convenience. We do not control those sites and are not responsible for their content.

14.Changes to these terms

We may update these terms from time to time. The version published on this page at the time you place an order is the one that applies to that order.

15.Governing law

These terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory law in your country provides otherwise.
